What is Company Seal?

A company seal (sometimes referred to as the corporate seal or common seal) is an official seal used by a company. Company seals were predominantly used by companies in common law jurisdictions, although in modern times, most countries have done away with the use of seals.

With effect from 31 January 2017, Malaysia companies is no longer required to use the common seal in the execution of documents as a deed, or other documents such as share certificates. Companies can execute documents by having them signed by the Authorised persons of the companies as follows:

Authorised persons for companies

  • Two (2) *authorised officers, one (1) of whom shall be a director; or
  • In case of sole director, by that director in presence of a witness who attests the signature

* Authorised officers means the director, secretary or any other person approved by the Board of Directors.

For existing companies that wish to do away with the use of its common seal, the Constitution of the Company will have to be amended to remove the requirement to use the common seal.

* Three working days (not including the day you placed the order, public holidays or weekends).
** Kindly remind the Company seal order is not included the sticker. Please place your order for the sticker as well if you want to use the common seal with the sticker. (to indicate at your requirement on the seal)

– Local courier fee of RM 20 (W/GST RM21.20) is applied for all the orders. Alternatively, you can self-collect your order at our office.

– No delivery on weekends and public holidays.

The common seal/company seal consist of two metal plates in which one plate has the protruding print contents while the other plate has the corresponding recessed print contents.

The print will appear as an embossment/impression on a document. A common seal/pocket seal is usually required for legal documents, share certificates, deeds and major contracts.

Lead-time: three working days after artwork confirmation

Payment terms: full payment before proceeding
